THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, GRID TRAVEL DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY CONTENT (INCLUDING ROUTES, MAPS, OR USER CONTENT) IS ACCURATE, COMPLETE, OR RELIABLE.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
TO THE FULLEST EXTENT PERMITTED BY LAW, GRID TRAVEL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Grid Travel and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with (a) your use of the Service, (b) your User Content, or (c) your violation of these Terms or applicable law.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
You and Grid Travel agree that any dispute, claim, or controversy arising out of or relating to these Terms, the breach thereof, or your access to or use of the Service (each, a “Dispute”) will be resolved by binding arbitration, rather than in court, except that: (1) you and Grid Travel may assert claims or seek relief in small claims court if such claims qualify; and (2) either party may seek equitable relief in court for infringement or other misuse of intellectual property rights (such as trademarks, copyrights, and patents).
You and Grid Travel agree to participate in good-faith informal efforts to resolve any Dispute before initiating an arbitration or small claims action. To initiate this process, a party must send a written notice (“Notice”) to the other party. Notices to Grid Travel must be sent via email to support@gridtravel.app. The Notice must include your name, the email address associated with your account, a detailed description of the dispute, and the specific relief sought.
Following receipt of the Notice, the parties will engage in a mandatory, individualized telephonic meet-and-confer conference to attempt to resolve the Dispute. If the parties are unable to resolve the Dispute within forty-five (45) days after the Notice is received, either party may commence formal arbitration proceedings. The statute of limitations shall be tolled while the parties engage in this Informal Dispute Resolution process.
These Terms and any Dispute will be governed by the laws of the State of Illinois, without regard to its conflict of law principles. The Federal Arbitration Act (“FAA”) governs the interpretation and enforcement of this Arbitration Agreement.
The arbitration will be administered by National Arbitration and Mediation (“NAM”) in accordance with the NAM Comprehensive Dispute Resolution Rules and Procedures in effect at the time, as modified by this section. If NAM is unavailable, the parties will select an alternative arbitral forum. The arbitrator shall have exclusive authority to resolve any Dispute regarding the interpretation, applicability, or enforceability of this Arbitration Agreement.
YOU AND GRID TRAVEL HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY. You and Grid Travel further agree that EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR COLLECTIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding, except as provided under the “Batch Arbitration” section below.
To increase the efficiency of administration and resolution, in the event that twenty-five (25) or more individual arbitration demands of a substantially similar nature are filed against Grid Travel by or with the assistance of the same law firm, group of law firms, or organizations within a ninety (90) day period, you and Grid Travel agree that NAM shall: (1) administer the demands in batches of 100 per batch (or a single batch if there are fewer than 100); (2) appoint one arbitrator for each batch; (3) provide for the resolution of each batch as a single consolidated proceeding with one set of filing and administrative fees due per batch; and (4) hold one hearing (if any) and issue one final award per batch. You agree to cooperate in good faith with Grid Travel and the arbitration provider to implement this Batch Arbitration process.
You have the right to opt out of the provisions of this Arbitration Agreement by sending written notice of your decision to opt out to support@gridtravel.app within thirty (30) days after first becoming subject to these Terms. Your notice must include your name, your account username, the email address used to set up your account, and an unequivocal statement that you wish to opt out of this Arbitration Agreement. If you opt out, all other parts of these Terms will continue to apply to you.
For any Dispute not subject to arbitration (including claims where you have validly opted out or intellectual property claims), you and Grid Travel agree that such claims will be litigated exclusively in the state or federal courts located in Illinois. You and Grid Travel consent to the personal jurisdiction of those courts.
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email. Changes take effect on the date we post the updated Terms (or on a later effective date if we specify one). Your continued use of the Service after the changes take effect means you accept the updated Terms.
